These Branding Guidelines ("Branding Guidelines") are incorporated into and form part of the partner agreement, which may include (without limitation) any co-marketing, reseller, marketplace, or referral agreement (the "Agreement") between For Good AI Inc.dba Zencoder Inc. (the "Company") and the entity specified on the applicable Agreement (the "Partner"). Capitalized terms used but not defined herein have the meaning given in the Agreement. In the event of any conflict between these Branding Guidelines and the Agreement, the Agreement will control as to the conflict.
1. Company Marks
- Company's Marks. As of February 1, 2025, Company's Marks include, without limitation:

ZENCODER ™ - Ownership and License. Company retains all right, title, and interest in and to the Company Marks. All goodwill generated from Partner's use of the Company Marks inures solely to Company's benefit. Subject to the Agreement, Partner has a limited, non-exclusive, non-transferable license to use the Company Marks solely to market and promote Company Services, in accordance with the Agreement and these Branding Guidelines. Partner will not sublicense, assign, or otherwise transfer any right to use the Company Marks to any other party.
- Updates to Company Marks. Company may update the Company Marks from time to time. The then‐current list of Company Marks will be maintained here. It is the Partner's responsibility to check for any updates and ensure compliance with the most recent version. In addition, Company will make commercially reasonable efforts to notify Partner via email or other written notice of any material changes.
2. Usage Requirements
- Proper Form: Partner must not obscure or otherwise alter the appearance of any Company Mark in any way. Changing the color, font, or proportions of any Company Mark is prohibited, as is removing any legend (e.g., ® for registered trademarks, ™ for unregistered trademarks, and SM for unregistered service marks). Email legal@forgood.ai for additional guidance.
- No Disparagement or Endorsement: Partner must not use any Company Mark in a manner that disparages Company or its products or services or implies endorsement or certification by Company of any Partner products or services, except as expressly allowed by Company in writing.
- No Harm or Damage: Partner must not diminish or damage Company's goodwill in the Mark nor take any action that might adversely impact Company's reputation.
- No Ownership Claim: Partner shall not adopt or register any domain name, social media handle, or other asset containing the Company Marks, or otherwise represent that any Company Mark belongs to Partner.
- Notice of Misuse: Partner must notify Company immediately of any improper, infringing, confusing or unauthorized use of any Company Mark of which Partner becomes aware.
- Immediate Cessation: Upon termination of the Agreement, or upon Company's written notice, Partner shall immediately cease use of all Company Marks.
